Mr. Berger has served as a director of Tier since January 2002. Since April 2003, he has served as President and Chief Executive Officer of Nuance Communications, Inc., a publicly traded company that develops and markets speech recognition software. From December 2001 to December 2002, he was President and Chief Executive Officer of Vicinity Corporation, a publicly traded company providing location-based marketing services. Vicinity was acquired by Microsoft Corporation in December 2002. He has also served as the managing director of Volatilis, LLC, a private investment and aviation services firm, since its founding in June 2001. Prior to forming Volatilis, Mr. Berger served as Chairman and Chief Executive Officer of AdForce, Inc., an online advertising company, from July 1997 to June 2001. AdForce provided on-line advertising management and delivery services to publishers, completed an initial public offering in May 1999 and was acquired by CMGi, an Internet operating and development company, in January 2000. Previously, Mr. Berger served as Chairman and Chief Executive Officer of Radius, Inc., a maker of peripheral products for graphics and video applications, from 1993 to 1997. Prior to joining Radius, Mr. Berger was Senior Vice President for Worldwide Sales, Operations and Support at Claris Corporation, a developer of desktop-to-web information management software, from 1992 to 1993. Mr. Berger is also on the Board of Directors of Nuance Communications, Inc., Vicinity Corporation, Efficient Market Services and FreeFlyer, Inc. Mr. Berger received a B.S. from Bucknell University and an MBA from the University of Santa Clara.

Nina brings with her extensive knowledge and experience of the electronic payment processing space at both a strategic and tactical level having served as President of Business Office Solutions from 2001 through September 2008, a division of Sallie Mae Inc., which provides business office reengineering services to universities, colleges, associations and the K-12 marketplace utilizing internet-based technologies. From October 1994 until 2001, Nina also served as Director, Cash Management and Banking Strategies, Corporate Finance for Sallie Mae.
Ronald W. Johnston

Mr. Johnston has worked as a CFO consultant for various companies through Tatum LLC, a professional services firm; as Chief Financial Officer and Treasurer for Grantham Education Corporation, a for-profit post-secondary university, and as Chief Financial Officer for WorldSpace Corporation, a satellite broadcast and content development company.
Keith Kendrick

Mr. Kendrick has extensive experience in strategic marketing, with particular emphasis on the electronic payment processing space, having worked as SVP, Corporate Marketing and Strategy with EFunds Corporation a publicly traded enterprise payments and data solutions company; as CEO and co-founder of Verticate Corporation an analytical software company focused on fraud detection in the retail drug transaction industry; as COO and EVP of Mindport Inc. a global pay-media services provider, as well as holding key executive operational and strategic marketing positions with HNC Software, Bank One Credit, Message Media, AT&T Universal Card Services, and MasterCard International.
Keith Omsberg
Vice President, General Counsel and Secretary
Keith Omsberg was appointed Vice President, General Counsel and Secretary in April 2008. Mr. Omsberg is responsible for company legal functions including compliance, governance, litigation, and intellectual property. Prior to this appointment, Mr. Omsberg was Vice President, Assistant General Counsel and Assistant Secretary at Tier since June 2002. Mr. Omsberg joined Tier from Peoplesoft, Inc., and has practiced law in various corporate legal departments and law firms since 1988. Mr. Omsberg is a member of the California bar and is licensed to practice in Virginia.
